Our client is a leading global energy company committed to sustainable development. We are seeking a talented and dedicated individual to join our team as an International Governance Assistant.
The Role
As an International Governance Assistant, you will play a crucial role in providing corporate governance and company secretarial support to our diverse portfolio of overseas subsidiaries and investments. This exciting opportunity will allow you to work closely with senior executives, board members, and legal professionals across multiple jurisdictions.
Key Responsibilities
- Board and Shareholder Meetings: Organize and coordinate board and shareholder meetings, including preparing agendas, minutes, and resolutions.
- Corporate Actions: Support a range of corporate actions such as reorganizations, dividend payments, restructurings, and liquidations.
- Regulatory Compliance: Ensure compliance with local company laws and regulations in various jurisdictions.
- Document Management: Maintain accurate and up-to-date statutory books and company records.
- Stakeholder Management: Liaise with directors, executives, legal professionals, and other stakeholders.
- Process Improvement: Identify opportunities to streamline and improve corporate governance processes.
- Ad-hoc Projects: Support various ad-hoc projects and initiatives within the Legal team.
Qualifications and Skills
- Prior experience as a company secretary or assistant company secretary.
- Experience in providing corporate governance support to non-UK companies (preferred but not essential).
- Degree qualification, with ICSA Grad qualification preferred or equivalent experience.
- Excellent written and verbal communication skills.
- Strong organizational and time management skills.
- Attention to detail and accuracy.
- Ability to work independently and as part of a team.
- Adaptability and flexibility to work in a dynamic environment.
