Job description
Position: Legal Advisor
Position Info: Work Location: Baku Office
Position Schedule: ASAP, 12 months (renewable)
Qualifications & Experience:
Education:
- Bachelor/Master degree in Law
- License or certification to practice law in the relevant jurisdiction.
Years of Working Experience: At least 3 years’ experience in a similar role, preferable within Oil and Gas Industry;
Knowledge of Languages: English (fluent), Azerbaijani (fluent).
Other Skills/Certificates Required:
- Strong communication and collaboration skills, ability to interact with various internal and external stakeholders.
- Knowledge of different cooperation typologies;
- Knowledge of legal principles, obligations, responsibility related to partnership agreements (Joint Ventures, Consortia, Heads of Agreement, Frame Agreement, Memorandum of Understanding, etc.) where the Company is involved;
- Ability to execute activities related to reviewing legal principles, obligations, responsibility with regards to partnership agreements.
- Knowledge of Contract Management Commercial Process (contract evaluation, negotiation and proposal with regards to partners, suppliers and customers) as well as Execution process (claim and change management with regards to partners, suppliers and Clients);
- Knowledge of contracts schemes and contractual terms and ability to analyse the main contractual conditions;
- Knowledge of Civil/Common Laws and capability to interpret them;
- Knowledge of the appropriate and applicable maritime regulations and company procedures including but not limited to ISM Code, SOLAS and MARPOL etc.;
- Understanding of the processes and procedures related to staff, business support, business activities; compliance and governance;
- Legal dispute and pre-dispute management skills - knowledge of alternative dispute resolutions (mediation, conciliation, arbitration) and ability to advise on the most effective way to resolve disputes in terms of cost and time impact.
Responsibilities:
- Provide assistance and advice to the Company functions, the Business Unit regarding any legal aspect impacting on the life of the Company, the prevention and settlement of litigations;
- Provide assistance and advice (at headquarter/site Company level) related to the prevention and settlement of disputes;
- Assist the Business Unit regarding legal issues associated with the drawing up of negotiation documents and the settlement of disputes;
- Assist the Company in suits pertaining to its activities, in compliance with defined the corporate criteria and, where necessary, seeking external legal advice;
- Research laws, investigate facts and prepare documents to support the legal activities;
- Research and analyse the sources of statutory law, final verdicts, legal articles, treaties, constitutions and codes of law, etc. affecting the Company business and activities. Monitor the compliance and provide clear and accurate legal advice, recommendations;
- If required, assist legal disputes with any involved stakeholders and the relations with the Company lawyer and the parties in dispute;
- If required, support preparation and filing of any necessary legal documents, such as complaints, motions, or responses for any legal proceedings or hearings.
- Prepare and review legal documents such as contracts, agreements and deeds.
- Provide legal opinions relevant to any interest aspect for the Business Unit;
- Support (at headquarter/site Company level) legal activities by guaranteeing appropriate links with the relative functions/ Business Units;
- In compliance with Company criteria, liaise with and provide necessary support to the legal firms which defend and represent the Company in front of the Courts;
- Assist the Company in any issue related to compliance and administrative responsibility of the Company;
- Ensure contract management activities ensuring that all aspects of the contract during the negotiation and execution phase are correctly addressed;
- Advice, draft and review the contractual correspondence related to Clients and Partners; and contractual communications to Vendors and Subcontractors;
- Support Saipem representatives towards Clients, Partners, Vendors and Subcontractors managing contractual aspect;
- Support in the preparation of variations of contracts and claims incorporating pricing, commercial, contractual, and technical aspects;
- Support the Procurement Function in negotiating contract documents of purchase orders and agreements during project execution;
- Provide contractual support in assessing and negotiating contractual variations and claims from Partners, Vendors and Subcontractors;
- Provide contractual support for the management of bank guarantee, insurance guarantees, corporate guarantees in accordance with Saipem policy and procedures;
- Provide contractual support in managing insurance contractual requirements and preparing and negotiating insurance claims;
- Review regulatory requirements;
- Review, update and complete all partner agreements according to contract/project development.
- Fully adhere, at all times and irrespective of the workplace, to Company Health, Safety, Environmental and Quality (HSEQ) policies, procedures and requirements;
- Perform other related duties as assigned by Superior.
